This Task Order is made and entered into as of the 26th day of October 2021 by and
between South Tahoe Public Utility District, hereinafter referred to as "DISTRICT" and HDR
Engineering, Inc. hereinafter referred to as "CONSULTANT".
In consideration of the mutual promises, covenants, and conditions as addressed in the
Master Agreement dated December 17, 2012 and as specifically hereinafter set forth, the
parties do hereby agree as follows:
PURPOSE
The purpose of this Task Order is for CONSULTANT to provide Electrical
Engineering Support Services during construction of DISTRICT's Water Tank
Backup Power Project located in the City of South Lake Tahoe, County of El
Dorado, California.
2. SCOPE OF WORK
The scope of work for these consulting services is contained in CONSULTANT's
written proposal dated October 21, 2021, and further outlined therein as Tasks 1-4.
Special Terms and Conditions outlined in CONSULTANT's proposal are acceptable
to DISTRICT. This written proposal is attached hereto, marked as Exhibit "A", and
incorporated herein by this reference as a part of this Task Order.
3. STAFFING
Staffing will consist of Daniel J. Gott P.E. (CA), Project Manager and Project
Engineer. Any changes shall provide for equivalent qualifications as far as possible
and practical.
4. DISTRICT RESPONSIBILITIES
DISTRICT agrees that its officers and employees will cooperate with CONSULTANT
in the performance of services under this Task Order and will provide documentation
and information in District's possession as requested.
5. TIME OF PERFORMANCE
Work for this Task Order shall commence on October 26, 2021, and be completed
on or before October 26, 2022, unless otherwise directed by DISTRICT.
Payment to CONSULTANT for services performed under this Task Order shall be as
provided in Article IV of the 12/17/12 Master Non -Grant Agreement and shall not
exceed the amount of Twenty -One Thousand Four Hundred Fifteen Dollars
($21,415.00) unless the scope of work is changed, and an increase is authorized by
DISTRICT.
7. INSURANCE COVERAGE
CONSULTANT's Errors & Omissions coverage shall be $1,000,000 aggregate with
a deductible of not more than $100,000 for the duration of this Task Order.
8. LABOR CODE REQUIREMENTS
All State of California prevailing wage laws must be complied with in the
performance of work related to this Task Order. These include, but are not limited to,
Labor Code Sections 1720 through 1860.
9. EFFECTIVE DATE
This Task Order No. 13 will become effective upon execution by both parties.
IN WITNESS WHEREOF, this Agreement is executed by the General Manager and
Clerk of the Board of the South Tahoe Public Utility District, and CONSULTANT has
caused this Task Order to be executed the day and year first above written.

RE: Electrical Engineering Support During Construction of the Tanks Backup Power
Project (2030-8158/TNKPR)
Dear Ms. Ryan:
HDR Engineering, Inc. (HDR) is pleased to present our proposal to provide electrical
engineering support during construction of a site backup battery addition. The improvements
were designed by the District. HDR takes no responsibility for the design prepared by others.
Dan Gott will serve as your project manager and project engineer for the project.
Our proposed scope of work, budget, and schedule are provided below.
Scope of Work
Task 1 — Project Management
HDR will provide project management for a 12-month duration, which includes preparation of
monthly invoices.

HDR will review the contractor's submittals, including shop drawings and operations and
maintenance (O&M) manuals, for conformance with the contract documents (up to 10
submittals/resubmittals are budgeted). HDR will not be responsible for consultation or other
services relating to construction means and methods, or construction site safety.
Task 3 — Contract Clarifications
HDR will answer questions and provide written interpretations of the requirements of the
contract documents and evaluate the acceptability of substitute materials and equipment. The
budget for this task includes up to 10 clarifications and responses to requests for information
(RFIs).

Task 4 — Site Trips to Witness Tests and Inspection
This task includes up to 2 site trips to witness tests and inspections.
Compensation
Table 1 shows the estimated work effort and cost to perform the scope of work described
above, which assumes the project will be completed by October 2022.
Schedule
We anticipate receipt of a notice to proceed in October 2021, and that the project will extend
though the end of October 2022.
Terms and Conditions
We have assumed this project will be a task order to the Master Agreement dated December
17, 2012.
For this Task Order, the following Supplemental Terms and Conditions will apply and will take
precedence over any conflicting terms in the Agreement:
Insurance: The required limits for the insurance specified in Article III(F)(2) and Article III(F)(3)
of the Agreement shall be modified to $1,000,000 for each coverage listed.
Consequential iarrsa es: To the fullest extent permitted by law and notwithstanding anything
to the contrary in the Agreement (including but not limited to Article 5(K)), in no event shall
CONSULTANT be liable for any special, incidental, indirect, or consequential damages
(including but not limited to loss of use or opportunity; loss of good will; cost of substitute
facilities, goods, or services; cost of capital; and/or fines or penalties), loss of profits or revenue
arising out of, resulting from, or in any way related to CONSULTANT's services or this Task
Order from any cause or causes, including but not limited to any such damages caused by
negligence, errors or omissions, strict liability or breach of contract.
Allocation of Risk: The parties have evaluate the risks and rewards associated with this Task
Order, including CONSULTANT's fee relative to the risks assumed, and agree to allocate
certain of the risks so, to the fullest extent permitted by law and notwithstanding anything to the
contrary in this Agreement, the total aggregate liability of CONSULTANT (and its related
corporations, subconsultants and employees) under this Task Order shall be limited to
$50,000, for any and all injuries, damages, claims, losses or expenses (including attorney and
expert fees) arising out of CONSULTANT's services or this Task Order regardless of the
cause(s) or the theory of liability, including negligence, indemnify, or other recovery.
