In consideration of the mutual promises, covenants, and conditions as addressed in the Master Agreement dated June 10, 2019 and as specifically hereinafter set forth, the parties do hereby agree as follows: - n a The purpose of this Task Order is for CONSULTANT to provide Emergency Engineering Support Services to evaluate the immediate and future debris flow risk from the Tamarack Fire to the Diamond Ditch, located in Alpine County, California, and to aid DISTRICT Staff in both immediate protection of the facility and long term planning for the ditch. CONSULTANT will provide a brief report documenting risks and recommendations for remediation. A full description of services is contained in CONSULTANT's written proposal "Task Order No. 3 Request" dated August 6, 2021, and more specifically outlined therein by the Scope of Work Items. This proposal is attached hereto as Exhibit "A", and by this reference is made a part of this task order. 3. STAFFING Services will be provided by Casey D. Smith, PG, CEG, Project Manager and Memorandum Preparers William Millhone, PE, Memorandum Cosigner; Drew Kennedy, PG, CEG, QC; Darren Mack, PE, GE, QC. CONSULTANT shall not change staffing without approval by DISTRICT. Any changes shall provide for equivalent qualifications as far as possible and practical. 4. TIME OF PERFORMANCE Work for this Task Order No. 3 commenced upon verbal Notice to Proceed, issued by DISTRICT Staff on August 6, 2021, and will be completed on or before October 15, 2021 unless otherwise directed by the District. 5. PAYMENT Payment to CONSULTANT for services performed under this Task Order No. 3 shall be in accordance with CONSULTANT'S "Project Budget Backup" (attached hereto as part of Exhibit "A") for the persons assigned to the project tasks. The cost ceiling for this Task Order No. 3 shall not exceed Twelve Thousand Six Hundred Twenty -Six Dollars and Forty Cents ($12,626.40), and will not exceed same except as provided in Article IV of the Master Agreement dated June 10, 2019. All State of California prevailing wage laws must be complied with in the performance of work related to this Task Order. These include, but are not limited to, Labor Code Sections 1720 through 1860. 7. EFFECTIVE DATE This Task Order No. 3 will become effective upon execution by both parties. The debris flows initiated due to a combination of the active Tamarack Fire and recent thunderstorm events. The debris flows have led to localized infilling of the ditch with silt to boulder sized materials that are currently preventing the operation of the ditch. We understand that South Tahoe Public Utility District (STPUD) typically releases approximately 8 million gallons of treated effluent water per day from the Harvey Place Dam into Diamond Valley Ditch in order lower the reservoir level for the winter months. Given the urgency to return the ditch to service, STPUD intends to work directly with known contractors to remove the current debris flow deposits from the ditch as part of an emergency project. STPUD has asked Gannett Fleming to perform a site visit to meet with the contractors to observe site conditions and discuss potential methods of reducing the risk of additional debris flows impacting the ditch both during debris removal and once placed back into service. SCOPE OF WORK The following scope of work was developed based on the foregoing and conversations with STPUD personnel. • tcl Re nnaissance And Mee i Mr. Casey Smith, PG, CEG, and Mr. William Millhone, PE will perform a site visit to meet with STPUD and their contractors on the week of August 91h to: (1) review and photograph current site conditions; (2) provide geologic and engineering support to STPUD during discussions with contractors regarding potential near -term debris flow mitigation measures; and (3) discuss the potential long-term mitigation measures that could be utilized to reduce future debris flow risk. We assume that the site visit will comprise a total of ten (10) hours including travel to/from Roseville, CA. A draft version of the memorandum will be circulated for STPUD review prior to finalizing. It is anticipated that the draft memorandum will be submitted within one (1) week of the site visit. The memorandum will be reviewed by two Gannett Fleming personnel in accordance with the Gannett Fleming Quality Management System (QMS). Perform project management tasks including project setup, invoicing, budget review and tracking, staffing control, information distribution, and periodic check -in calls with STPUD. This includes up to eight (8) hours of time to coordinate with the selected contractors regarding available materials and their capabilities during memorandum preparation. • • Gannett Fleming does not assume the role of a "controlling employer" for work outside the direction of Gannet Fleming, for jobsites under the supervision of a General Contractor or other third -party entity, or for entities or persons with whom Gannett Fleming does not have a prime contractual relationship. STPUD will retain and coordinate directly with the contractor(s) that will be performing the debris removal. • STPUD will facilitate safe access to the ditch. Gannett Fleming will perform a brief safety tailboard meeting prior to beginning work to fill out and review a brief Job Hazard Analysis (JHA) worksheet. • Due to the ongoing Tamarack Fire in the site vicinity, work will be performed under our Wildfire Smoke JSA. If conditions such as increased fire activity or AQI>301 are anticipated or encountered work may need to be postponed. • Travel expenses will be billed in accordance with our Master Agreement for Consulting Services. It is noted that Gannett Fleming personnel will travel in separate vehicles due to the ongoing COVID-19 pandemic. Lodging is not included in this scope of work. • It is anticipated that the summary memorandum will include conceptual sketches and/or photograph markups depicting potential mitigation measures. Development of drafted figures or formal engineering drawings is not included in this task order request. Further engineering or field support will require a change order or a new task order. Based on our understanding of the project we have tentatively assumed the following preliminary milestone schedule. A final project schedule will be established at the start of the project. We will not exceed the budget presented above to perform the proposed Scope of Work. Should additional work, site visits, or meetings be required in addition to the Scope of Work above, or should significant changes be required due to reasons beyond the control of Gannett Fleming, STPUD will be notified, and the time required for these items will be billed on 'time and expenses'basis. If this task order request is acceptable, please forward the necessary contract documentation, referencing this Scope of Services, in accordance with our Master Agreement for Consulting Services for our review and signature.
