South Tahoe Public Utility District, hereinafter referred to as "DISTRICT" and DOWL LLC,
hereinafter referred to as "CONSULTANT".
In consideration of the mutual promises, covenants, and conditions as addressed in the
Master Agreement dated July 17, 2017, and as specifically hereinafter set forth, the parties
do hereby agree as follows:
PURPOSE
The purpose of this Amendment A to Task Order No. 1 is for CONSULTANT to
Provide additional supplemental structural and electrical support services for the
addition of backup generators at Keller Booster Station and Paloma Well located in
the City of South Lake Tahoe, County of El Dorado, California. The remainder of
Task Order No. 1 remains in full force and effect.
2. SCOPE OF WORK
The scope of work for these services is contained in the CONSULTANT's six -page
written proposal, and further identified as Tasks 1-4. Said written proposal is
attached hereto, marked as Exhibit "A", and incorporated herein by this reference as
a part of this Task Order.
3. STAFFING
Matt Van Dyne, P.E., Principal Engineer, shall be the responsible person in charge
of the completion of the services performed under this Task Order. CONSULTANT
shall not change staffing without approval by DISTRICT. Any changes shall provide
for equivalent qualifications as far as possible and practical.
4. TIME OF PERFORMANCE
Services for this Task Order No. 1 commenced upon verbal Notice to Proceed tieing
issued by DISTRICT Staff on June 12, 2024, and shall be completed on or before
June 30, 2025.
5. PAYMENT
Payment to CONSULTANT for services performed under this Task Order shall be as
provided in Article IV of the 6/15/2023 Master Agreement and shall not exceed the
amount of Twenty -Five Thousand Eight Hundred Twelve Dollars ($25,812) unless
the scope of work is changed, and an increase is authorized by DISTRICT.
6. INSURANCE COVERAGE
CONSULTANT's Errors & Omissions coverage shall be $5,000,000 aggregate with
a deductible of not more than $500,000 for the duration of this Task Order.
7. EFFECTIVE DATE
This Amendment A to Task Order No. 1 shall be in effect upon execution by both
parties.
IN WITNESS WHEREOF, this Agreement is executed by the General Managerand
Clerk of the Board of the South Tahoe Public Utility District, and CONSULTANT has
caused this Agreement to be executed the day and year first above written.
