In consideration of the mutual promises, covenants, and conditions as addressed in the Master Agreement dated March 12, 2021 and as specifically hereinafter set forth, the parties do hereby agree as follows: PURPOSE The purpose of this Task Order is for CONSULTANT to provide professional civil engineering services for the Pipeline Assessment Certification Program (PACP) coding of approximately 8,000 linearfeet of Panaramo 360 Mainline inspection data including quality assurance and quality control of codes by a certified National Association of Sewer Service Companies (NASSCO) PACP/MACP/LACP. 2. SCOPE OF WORK The scope of work for these consulting services is contained in CONSULTANT's written proposal dated July 8, 2021. This written quote is attached hereto, marked Exhibit "A", and incorporated herein by this reference as a part of this Task Order. 3. STAFFING Staffing will consist of Eric Sullivan, Sr. Project Manager, QA/QC; Jessy Vargas -Bloom, Robert Swords, Kyle McCarthy, Jacob Tucker, Paul Sherrod, Condition Assessment Technicians. CONSULTANT shall not change staffing without approval by DISTRICT. Any changes shall provide for equivalent qualifications as far as possible and practical. DISTRICT RESPONSIBILITIES DISTRICT agrees that its officers and employees will cooperate with CONSULTANT in the performance of services under this Task Order and will provide documentation and information in District's possession as requested. TIME OF PERFORMANCE Tasks for this scope of work will commence upon signature of this document by all parties, on or about July 14, 2021, and be completed by August 6, 2021. PAYMENT Payment to CONSULTANT for services performed under this Task Order shall be as provided in Article IV of the March 12, 2021 Master Agreement and shall not exceed the amount of One Thousand Seven Hundred and Sixty Dollars ($1,760.00) unless the scope of work is changed and an increase is authorized by DISTRICT. INSURANCE COVERAGE CONSULTANT's Errors & Omissions coverage shall be $1,000,000 aggregate with a deductible of not more than $5,000 for the duration of this Task Order. 8. LABOR CODE REQUIREMENTS All State of California prevailing wage laws must be complied with in the performance of work related to this Task Order. These include, but are not limited to, Labor Code Sections 1720 through 1860. EFFECTIVE DATE This Task Order No. 1 will become effective upon execution by both parties. The District owns, operates and maintains a sewer collection system that includes approximately 312 miles of gravity sewer main lines ranging from 6 to 24 inches in diameter. The majority of the pipe was installed between 1956 and 1978. The District's service area is located on the south shore of Lake Tahoe, entirely within the State of California. PROJECT SCOPE General - The work will involve coding CCTV footage of gravity sewer mains according to the current version of the NASSCO PACP specifications. The District currently has a backlog of approximately 80,000 Linear Feet ("LF") of CCTV footage to be coded. The District will deliver a PACP exchange database or WinCan database and associated CCTV media files electronically to SewerAl. All work completed by the SewerAl is expected to be completed remotely with no need to be on -site. At such time when SewerAl's services are required, District staff will forward a Task Order for the requested services along with any pertinent supporting information.
