Heidi Baugh-HurchasiAgent 360 PIPELINE INSPECTIONS LLC TASK ORDER NO. 1 CONSULTING SERVICES This Task Order is made and entered into as of the 9th day of April,2020 by and between South Tahoe Public Utility District,hereinafter referred to as"DISTRICT"and 360 Pipeline Inspections LLC hereinafter referred to as "CONSULTANT". In consideration of the mutual promises, covenants, and conditions as addressed in the Master Agreement dated March 24, 2020 and as specifically hereinafter set forth, the parties do hereby agree as follows; 1. PURPOSE The purpose of this Task Order No. 1 is for CONSULTANT to provide professional civil engineering services for the Pipeline Assessment Certification Program (PACP)coding of approximately 35,000 linear feet of Panaramo Mainline inspection data including quality assurance and quality control of codes by National Association of Sewer Service Companies(NASSCO)PACP/MACPILACP certified personnel. 2. SCOPE OF WORK The scope of work for these consulting services is contained in the CONSULTANT's written Proposal dated March 27,2020.This Proposal is attached hereto, marked Exhibit"A",and incorporated herein by this reference as a part of this Task Order. 3. STAFFING Staffing will consist of Mark Villarin, CCTV Operations Manager. CONSULTANT shall not change staffing without approval by DISTRICT.Any changes shall provide for equivalent qualifications as far as possible and practical. 4. DISTRICT RESPONSIBILITIES DISTRICT agrees that its officers and employees will cooperate with CONSULTANT in the performance of services under this Task Order and will provide documentation and information in District's possession as requested. 5. TIME OF PERFORMANCE Tasks for this scope of work will commence upon signature of this document by all parties,on or about April 8,2020 and shall conclude on or before June 5,2020.At which time CONSULTANT will complete a QA/QC of the remaining data and send all files electronically to South Tahoe Public Utility District. 1 6. PAYMENT Payment to CONSULTANT for services performed under this Task Order No, 1 shall be as provided in Article IV of the Master Services Agreement and in accordance with CONSULTANT's Compensation schedule(attached as part of Exhibit"A").Final compensation shall be based on the amount of CCTV Pipe Inspection Coding performed,but shall not exceed the amount of Fourteen Thousand Fifty Dollars ($14,050.00)unless the scope of work is changed and an increase is authorized by DISTRICT. 7. INSURANCE COVERAGE CONSULTANT's Errors&Omissions coverage shall be$1,000,000 aggregate with a deductible of not more than $5,000 for the duration of this Task Order. 8. LABOR CODE REQUIREMENTS All State of California prevailing wage laws must be complied with in the performance of work related to this Task Order. These include, but are not limited to, Labor Code Sections 1720 through 1860. 9. EFFECTIVE DATE This Task Order No. 1 will become effective upon execution by all parties. CLIENT RESPONSIBILITIES: Where practical a clear color video that provides an unobstructed view of the entire pipe and should be free of debris and obstructions that impede visibility for pipe coding. Video requires pan, tilt and pause on each defect within the pipe segments. Additionally; the NASSCO PACP required headers fields will be completed by the District and a validated NASSCO PACP database and video provided prior to delivery to consultant for coding. QUALIFICATIONS: Pipe Coding will be performed by a certified NASSCO PACP/ LACP/MACP CCTV operations manager with over 20 years experience and holds an active State of California C42 Contractor License# 1052318 PWC Registration Number: 1000062084 SUBMITTALS: Coded pipes will be delivered in a NASSCO Certified PACP 7.0.2 or higher exchange database with updated PACP codes for all inspections and associated media files and transferred to the District electronically over the internet.
